Please read these terms of service carefully before using Reels.

These terms of service (this "Agreement") is a binding contract between you ("Customer," "you," or "your") and Reels ("we," or "us"). This Agreement governs your access to and use of the products and services provided by Reels under this Agreement (the "Services") that are detailed on Reels' website (the "Site").
This Agreement takes effect when you install the Reels app on your Shopify store or otherwise access or use the Services. By doing so you (a) acknowledge that you have read and understand this Agreement; (b) represent and warrant that you have the right, power, and authority to enter into this Agreement and, if on behalf of an organization, that you have the legal authority to bind that organization; and (c) accept this Agreement and agree that you are legally bound by its terms.
Subject to the terms and conditions of this Agreement, Reels grants you a revocable, non-exclusive, non-transferable, limited right to access and use the Services for your internal business operations. Access is tied to your Shopify store and the plan you have selected (Free, Basic, Premium, or Elite). You may allow your employees or contractors to use the app under your account, and you remain responsible for their use.
You shall not use the Services for any purpose beyond the scope of the access granted in this Agreement. You shall not at any time, directly or indirectly: (i) copy, modify, or create derivative works of the Services or any software component of the Services, in whole or in part; (ii) rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make available the Services except as expressly permitted under this Agreement; (iii) reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any software component of the Services, in whole or in part; (iv) remove any proprietary notices from the Services; or (v) use the Services in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable law, regulation, or rule.
Reels reserves all rights not expressly granted to Customer in this Agreement. Except for the limited rights and licenses expressly granted under this Agreement, nothing in this Agreement grants, by implication, waiver, estoppel, or otherwise, to Customer or any third party any intellectual property rights or other right, title, or interest in or to the Reels IP.
Reels may temporarily suspend your access to the Services if we reasonably determine that (i) there is a threat or attack on our systems; (ii) your use disrupts or poses a security risk; (iii) you are using the Services for fraudulent or illegal activities; or (iv) providing the Services is prohibited by applicable law. We will use reasonable efforts to notify you and to resume access once the issue is resolved.
"Customer Data" means the content you provide through the Services (e.g. story groups, media, product tags). You are solely responsible for your Customer Data and that it does not violate our Acceptable Use Policy. Reels does not backup Customer Data; it may be deleted in accordance with our data retention practices or if you uninstall the app.
You agree not to use the Services to:
We reserve the right to review content and take appropriate action, including removing content or terminating your access to the Services, if you violate this Policy.
Reels complies with its Privacy Policy in providing the Services. By accessing and using the Services, you acknowledge that you have reviewed and accepted our Privacy Policy. The Privacy Policy is subject to change as described therein.
We own all right, title, and interest in and to the Services. You retain ownership of your Customer Data (e.g. your media and story content). You grant us the rights necessary to host, process, and display that content as part of the Services.
THE SERVICES ARE PROVIDED "AS IS" AND REELS SPECIFICALLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. REELS DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. REELS MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.
IN NO EVENT WILL REELS BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES; LOST PROFITS; LOSS OF DATA; OR COST OF REPLACEMENT GOODS OR SERVICES. IN NO EVENT WILL REELS' AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL AMOUNTS PAID TO REELS UNDER THIS AGREEMENT IN THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
This Agreement remains in effect while you use the Services. You may stop using the Services at any time by uninstalling the app from your Shopify store. We may suspend or terminate your access at any time for any reason. Upon termination, your access will end and we may delete your data as described in our Privacy Policy. We will not have any liability to you for any termination.
We have the right to modify this Agreement at our sole discretion. Modified terms become effective on posting. You are responsible for reviewing and becoming familiar with any modifications. Your continued use of the Services after the effective date of the modifications will be deemed acceptance of the modified terms.
This Agreement is governed by and construed in accordance with the laws of the jurisdiction in which Reels operates, without giving effect to any choice or conflict of law provision or rule. Any dispute arising out of or in connection with this Agreement shall be resolved in accordance with applicable law.
